- Read the agreement in full, including the schedules, which is often where the commercial substance sits.
- Explain what you are committing to in plain terms, and for how long.
- Identify where liability falls, what is capped and what is not.
- Flag indemnities, exclusivity, restrictive covenants and automatic renewal.
- Check who owns the intellectual property created under the agreement.
- Point out what is missing as well as what is there.
- Set out the points worth negotiating, in order of what actually matters.

Common questions
- How long does a review take?
- It depends on the length and complexity of the agreement. We confirm a realistic turnaround when we quote, having seen the document.
- Will you negotiate with the other side?
- Only if that is agreed as part of the scope. A standard review equips you to negotiate; it does not include correspondence with the counterparty.
- Can you review a contract governed by another country's law?
- We advise on the law of England & Wales. If the agreement is governed by another jurisdiction's law we will tell you, and you will need advice from a lawyer qualified there.
- I have already signed. Is a review still worth it?
- Sometimes. Knowing what you are bound by is useful when a dispute is brewing or a renewal is coming up. Tell us the position and we will say honestly whether it is worth the fee.
