Consultancy and services agreements
Agreements for consultants, agencies and advisers, whether you are the one providing the services or the business engaging them.
From £750 · one agreement
When this is useful
Situations this service is for
- You are a consultant or agency and want your own terms rather than signing each client's.
- You are engaging a consultant and need the deliverables and the intellectual property properly dealt with.
- An advisory arrangement involves fees, commission or equity and needs to be recorded.
- A long-running engagement has grown well beyond the scope of the original email.
- You need to be clear about employment status, substitution and who carries the tax risk.
What we do
The work itself
- Define the services and the deliverables precisely enough to be enforceable.
- Deal with fees, expenses, invoicing and what happens when payment is late.
- Address intellectual property: what is assigned, what is licensed and what the consultant keeps.
- Cover confidentiality, data protection responsibilities and, where appropriate, restrictions after termination.
- Set out notice, termination and what happens to work in progress.
- Address status and substitution clearly, so the arrangement is not undermined by ambiguity.

Common questions
- Can one agreement cover several clients?
- Yes. Consultants and agencies often need one set of terms plus a short statement of work for each engagement. That is usually the cheaper and more workable structure.
- Who owns the work produced?
- Whoever the agreement says owns it. Without an express assignment the consultant generally retains copyright, which surprises a lot of clients. It is one of the first things we settle.
- Do you advise on IR35?
- We draft the agreement to reflect the arrangement you describe and flag terms inconsistent with it. Determinations on off-payroll working rules are a tax matter for your accountant or a specialist adviser.
