Contract drafting

You have agreed something commercially and now it needs to be written down properly. Drafting starts from your terms rather than from a template that has to be bent to fit.

From £750 · one agreement

When this is useful

Situations this service is for

  • You have been working on a handshake and the relationship is now worth documenting.
  • You are engaging consultants, contractors or agencies repeatedly and need a set of terms you can reuse.
  • You are selling a service and want your own terms rather than signing everyone else's.
  • A template you found online does not cover how your business actually works.
  • A deal has been agreed in principle and both sides want it recorded before work starts.

What we do

The work itself

  • Establish the commercial terms first: who does what, for how much, for how long and what happens if it stops.
  • Draft an agreement that reflects those terms rather than a standard form with your name in it.
  • Deal with payment, liability, intellectual property, confidentiality, termination and dispute resolution appropriately for the transaction.
  • Keep the language as plain as the subject matter allows.
  • Revise the draft within an agreed allowance and produce a final execution version.

Before you book

What to send us

  1. 01A description of the deal in your own words, including anything already agreed by email.
  2. 02Any heads of terms, quote or proposal.
  3. 03Any existing agreement you are replacing.
  4. 04The names and, where relevant, company numbers of the parties.
  5. 05When you need it by.

What happens

How the work runs

  1. 01

    The brief

A conversation to establish the commercial terms. Most drafting problems are commercial questions that have not yet been decided.

  2. 02

    Scope and fee

We confirm the scope, the revision allowance and the fixed fee in writing before drafting starts.

  3. 03

    First draft

You receive a first draft with notes on the decisions we have taken and the points that still need your answer.

  4. 04

    Revisions

Your comments are incorporated within the agreed revision allowance.

  5. 05

    Execution version

A final version, formatted for signature, with a short note on how it should be signed.

Questions

Common questions

Can you draft anything?
No, and we will tell you when something falls outside what we do. Some agreements need a specialist in that field, and it is better to say so at the start than to produce a document that is merely adequate.
How many rounds of amendments are included?
The allowance is agreed with the fee before drafting starts, so there are no surprises. Additional rounds are quoted separately.
Will the agreement be enforceable?
It will be drafted to be, under the law of England & Wales. No solicitor can promise how a court would decide a particular dispute, and you should be sceptical of one who does.
Can you draft in a way both sides will accept?
We draft for you. A balanced agreement is often the quickest route to signature, and where that is your objective we will draft accordingly — but our duty is to you.
